General Terms and Conditions of Business

of Universum Managementges. mbH, as the operator of Universum® Bremen,
for the events segment

1. SCOPE OF APPLICATION
   These Terms and Conditions of Business apply to contracts for the rental provision of event premises for holding events and for all other connected services and deliveries of Universum Managementges. mbH.
2. CATERING
   The organiser and persons attending the event are not allowed to bring food and drink to events. Catering services shall be rendered by tenant catering establishments at the respective exhibition venues (SchauBox/Science Center). Other agreements shall be reached after consulting with Universum Managementges. mbH.
3. ENTERTAINMENT SERVICES
   Universum Managementges. mbH shall act as an intermediary for contact with bands, disc jockeys, artists and other entertainers for the event. The organiser has sole authority for concluding contracts with these persons. No liability shall be accepted by Universum Managementges. mbH in this respect.
4. INHERENT RIGHTS OF THE AUTHOR AND GEMA (GERMAN ASSOCIATION FOR THE PROTECTION OF MUSICAL PERFORMANCE AND RECORDING RIGHTS)
   The organiser shall be obliged to register the artists, bands or disc jockeys he has booked, including any background music, with GEMA and to remit the resultant GEMA fees. Universum Managementges. mbH shall notify GEMA of any events that are subject to a corresponding reporting requirement and disclose the address of the organiser and the type of event to GEMA.
5. CONCLUSION OF THE CONTRACT
   Universum Managementges. mbH shall submit an offer to the organiser for the event that specifies the time, place, type and content as well as the price of the event. Within two weeks from the date of the offer the organiser may accept this offer. The contract shall come about upon written acceptance of the offer, which must be received by Universum Managementges. mbH within the two-week period.
6. SERVICES AND PAYMENT
   Universum Managementges. mbH shall be obliged to render the services which are ordered by the organiser and promised by Universum Managementges. mbH. The organiser shall be obliged to pay the agreed price in full and within 7 days after the contractually stipulated end of the event. If the organiser defaults on payment, Universum Managementges. mbH shall be entitled to charge interest at a rate of 5 percentage points above the respective base rate of Deutsche Bundesbank.
7. SUBLETTING
   Subletting or reletting the surrendered premises as well as issuing invitations for sales meetings and interviews or similar events is not allowed without the prior written consent of Universum Managementges. mbH. Universum Managementges. mbH is not obliged to grant its consent for subletting.
8. CHANGE IN PARTICIPANT NUMBERS
   A change in participant numbers must be notified in writing at least 10 working days before the event starts. In this case, Universum Managementges. mbH reserves the right to charge for any additional costs associated with the changes. The invoice basis is the registered number of participants, even if less people turn up on the day of the event.
9. RIGHT OF OWNERSHIP AND USE
   The organiser shall not be given a right of ownership or use to names, signs, emblems, logos or the like of Universum® Bremen. The organiser may in particular not use the logo of Universum® Bremen for advertising in the context of the event or otherwise.
10. WITHDRAWAL BY UNIVERSUM MANAGEMENTGES. MBH
    Universum Managementges. mbH shall be entitled to withdraw from the contract if
    • force majeure or other circumstances for which it is not responsible render the performance of the contract impossible;
    • events are booked on the basis of misleading or false material facts stated, e.g. of the organiser or purpose;
    • Universum Managementges. mbH has justified reason to assume that the event may endanger the smooth operation of its business, safety/security or its reputation in the public eye without it being attributable to its power of control or organisational remit.

    Should the organiser withdraw from the contract, it shall not be entitled to compensation or other claims against Universum Managementges. mbH.

11. WITHDRAWAL OF THE ORGANISER
    If the organiser cancels the event for reasons for which Universum Managementges. mbH is not responsible, the organiser shall be obliged to pay compensation amounting to the percentages of the agreed contractual price specified below:
    • Withdrawal up to four weeks before the start of the event: 10 percent
    • Withdrawal up to two weeks before the start of the event:  50 percent
    • Withdrawal up to one week before the start of the event:    75 percent
    • Withdrawal up to 48 hours before the start of the event:   100 percent
12. COMPLIANCE WITH SAFETY PROVISIONS
    When executing the event, the organiser shall undertake to comply with any safety/security provisions or requirements of the German Technical Inspection Association (TÜV) or other authorities for the execution of the event or for the facilities at the event premises and/or to ensure that the participants comply with them. Universum Managementges. mbH shall be entitled to cancel the event after a warning and to have the event premises evacuated if safety/security provisions are not adhered to.
13. LIABILITY AND DUTIES OF CARE
    The liability of Universum Mangementges. mbH and its vicarious agents for simple negligence is excluded in so far as neither breach of a material contractual obligation nor injury to life or limb nor a case of default or impossibility of performance has occurred. The organiser shall be liable for all damage to the building or inventory caused by persons attending the event or by him personally.
    The organiser shall be responsible for taking out the appropriate insurance. Universum Managementges. mbH may demand proof that such insurance has been concluded before the events are held.
    Decoration material provided must meet the fire brigade regulations. Universum Managementges. mbH shall be entitled to demand official proof therefor. When items are put up or attached anywhere the prior consent of the technical manager of Universum Managementges. mbH shall always be obtained in order to avoid possible damage.
    The provided exhibition or other items shall be removed immediately after the event has finished. If the items are not removed, Universum Managementges. mbH may have them removed and stored at the organiser’s expense.
14. MISCELLANEOUS
    The sole place of jurisdiction for all disputes arising from the contractual relationship is Bremen if the organiser is a merchant, legal entity under public law or special fund under public law or if the organiser has no general place of jurisdiction in Germany.
15. German law applies.
    Any changes or additions to or an agreement concerning the termination of a contract must be in writing in order to be valid. Any preceding verbal or written agreements relating to the subject of the contract shall be invalidated by this agreement. Should individual provisions of these General Terms and Conditions of Business for Events be invalid, the validity of the remainder of the provisions shall not be affected thereby.

Right of Cancellation for Events

The participant is entitled to cancel or change the reservation without giving reasons up to 14 days before the event is due to take place.  If the cancellation is too late, payment must be furnished nonetheless.

Excerpt from the General Terms and Conditions
If the customer withdraws from an event for reasons for which Universum Managementges. mbH is not responsible, he shall be obliged to reimburse the following amounts:

From 2 weeks before the event date – 50% of the sale price
From 1 week before the event date – 75% of the sale price
From 2 days before the event date – 100% of the sale price

Cancellation may be in writing or on another durable medium, e.g. by email.

If cancellation is carried out on time, the participant is no longer bound to the contract with Universum Managementges. mbH. Universum Managementges.mbH shall reimburse the participant for the price already paid within 30 days after the participant’s declaration.

Likewise, the price will be paid back if the event is unworkable due to force majeure or other circumstances for which Universum Managementges. mbH is not responsible.

Universum Managementges. mbH reserves the right to combine events if the demand is too small (minimum participation numbers of 40 persons per event).
